1. Introduction
These Terms of Service (the "Terms") govern access to and use of the online services operated by Supply Leader Systems LTD, Supply Leader Group LTD, and/or any affiliated entity operating under the Supply Leader brand (collectively, "Supply Leader", "we", "us", or "our").
The Supply Leader name and trademark are used in connection with our online services, software tools, analytics systems, sourcing support, and related business assistance.
In these Terms:
- "Company" means any Supply Leader entity that provides the relevant Service, accepts payment, invoices the User, or performs operational support;
- "Supply Leader", "Platform", or "Service" means the website, dashboard, analytics tools, request systems, and related digital or support services made available under the Supply Leader brand;
- "User", "you", or "your" means any individual or legal entity accessing or using the Service.
By accessing or using the Service, you agree to be bound by these Terms and all policies referenced herein, including the Refund Policy and Privacy Policy.
2. Definitions
For purposes of these Terms:
- Company means Supply Leader Systems LTD, Supply Leader Group LTD, or any affiliated Supply Leader entity involved in providing Services, accepting payment, operational handling, support, or invoicing.
- Affiliated Entity means any company under common ownership, common control, or operational cooperation with Supply Leader and authorized to provide parts of the Service or process payments.
- Platform / Service means the website, account dashboard, user interface, databases, analytics tools, manufacturer or supplier search systems, communication systems, and other digital components operated under the Supply Leader brand.
- User means any individual, company, or organization using the Platform or purchasing Services.
- Services means subscription-based and one-time professional services, including analytics, product evaluation, supplier search, supplier verification, intellectual property and brand authorization checks, sourcing support, order coordination assistance, company formation assistance, document support, brand approval assistance, and other business-related services.
- Request means a User inquiry submitted through the dashboard, email, or another approved channel, including inquiries regarding products, suppliers, distributors, documentation, authorizations, or sourcing support.
- Successful Request means a Request that is considered fulfilled once relevant information, analysis, sourcing results, risk review, supplier contact data, or verification findings have been delivered, regardless of whether the result matches the User's desired commercial outcome.
- Subscription means recurring paid access to designated Platform features and Services.
- Plan means a subscription plan or pricing package defining the scope of Services, limits, access level, support level, or other parameters.
- One-Time Services means non-recurring paid services requested separately from a Subscription, including company formation support, document preparation, brand approval assistance, white label or private label sourcing support, and other custom business support.
- Third-Party Supplier means any manufacturer, supplier, distributor, logistics provider, customs broker, marketplace, rights holder, or other third party not owned or controlled by Supply Leader.
3. Structure of Services
Supply Leader provides business support and digital services, including:
- access to product analytics, retail sales data, market insights, product evaluation tools, and related business information;
- assistance with locating wholesale suppliers, manufacturers, distributors, and commercial opportunities;
- review of available information regarding supplier credibility, intellectual property restrictions, brand authorization requirements, and related business risks;
- recurring access to Platform tools, analytics systems, and support features under the selected Plan;
- separately purchased services such as company formation assistance, document preparation, brand approval assistance, advisory support, and custom sourcing tasks;
- assistance with communications, documentation, negotiation support, payment coordination, and supplier interaction in relation to third-party orders;
- support with white label and private label sourcing, including factory search, commercial terms, and coordination of customization processes.
The exact scope of Services depends on the User's selected Plan, ordered service, and operational availability.
Supply Leader provides support, analytics, sourcing, coordination, and informational services. Supply Leader does not guarantee a completed transaction, supplier acceptance, brand approval, shipment, profitability, or any specific business result.
4. Legal Scope
These Terms constitute a legally binding agreement between the User and the applicable Supply Leader entity providing the Service.
The User acknowledges that Supply Leader primarily provides digital, informational, analytical, sourcing, and coordination services. Except where expressly stated otherwise in writing, Supply Leader is not the seller, manufacturer, importer, distributor, shipper, or warrantor of third-party goods.
Users are solely responsible for ensuring that their use of the Platform and any contemplated transaction is lawful in their jurisdiction.
5. Account Terms
To use certain Services, the User must create an account and provide accurate, current, and complete information.
The User is responsible for maintaining account confidentiality, safeguarding login credentials, and all activity conducted through the account.
The User must promptly notify Supply Leader of any unauthorized access or suspected breach.
Supply Leader may deny registration, suspend access, restrict functionality, or terminate accounts at its sole discretion, including in cases of misuse, fraud risk, payment disputes, policy violations, abuse of support, or suspected unlawful activity.
6. Payment and Billing
Payments for Services may be processed by Supply Leader Systems LTD, Supply Leader Group LTD, or another affiliated Supply Leader entity, depending on operational requirements, internal allocation of services, geography, banking availability, or contractor settlement needs.
The User agrees that:
- charges from any authorized Supply Leader affiliated entity are valid and authorized where connected with the Platform or Services;
- different Supply Leader entities may invoice, collect payment, or provide operational fulfillment of the Service;
- payment processor descriptors may reflect the relevant affiliated entity.
Access to some Services is activated upon successful payment confirmation.
Subscriptions renew automatically unless canceled by the User before renewal through the applicable payment method or account tools, as described in these Terms and the Refund Policy.
The User is responsible for providing valid billing information and keeping it updated.
Refunds, billing disputes, and cancellation rules are governed by the Refund Policy, which forms an integral part of these Terms.
7. Acceptance of Terms
By registering, accessing the Platform, paying for Services, using Subscription features, submitting Requests, or interacting with Supply Leader support, you acknowledge that you have read, understood, and agree to be bound by these Terms and all referenced policies.
If you do not agree, you must not use the Platform or Services.
8. Technical Use Restrictions
The User shall not:
- interfere with, disrupt, or overload the Platform;
- bypass technical or access restrictions;
- scrape, extract, copy, reproduce, resell, or commercially exploit Platform data, interface elements, databases, logic, workflows, or materials without written authorization;
- use bots, automated scripts, or mass collection methods without approval;
- attempt unauthorized access to accounts, systems, or protected areas;
- use the Platform for unlawful, abusive, fraudulent, or deceptive purposes.
Supply Leader may restrict or terminate access immediately upon breach of this section.
9. Company Information
The Supply Leader Platform is operated by one or more entities within the Supply Leader, including Supply Leader Systems LTD and Supply Leader Group LTD, depending on the relevant Service and operational allocation.
The website is operated under the Supply Leader brand and is available through the official Supply Leader website.
Operational, billing, contractual, or support functions may be performed by different affiliated entities within the Supply Leader.
10. Registration Obligations
The User must provide accurate registration and contact information and keep it current.
If registering on behalf of a company or other legal entity, the User represents and warrants that they have authority to bind that entity to these Terms.
Supply Leader may suspend or terminate access where registration information is false, incomplete, misleading, or outdated.
By registering, the User agrees to receive transactional and service communications related to account activity, subscription status, request handling, billing, security, support, and policy updates.
Marketing communications may be sent where permitted by applicable law and may be opted out of as described in applicable communications.
11. User Information and Submitted Materials
Users may submit product descriptions, files, images, specifications, business documents, commercial materials, authorization-related information, and other content through the Platform.
The User is solely responsible for ensuring that submitted materials:
- are accurate;
- are lawful;
- do not infringe third-party rights;
- do not contain prohibited, unlawful, or harmful content.
Supply Leader may remove, block, or refuse any content or Request that violates these Terms, legal requirements, third-party rights, or operational policies.
All internal datasets, analysis outputs, structured sourcing results, research formatting, internal supplier mapping, verification results, and Service-generated compilations prepared by Supply Leader remain the intellectual property of Supply Leader or its licensors.
12. User Responsibilities
The User is responsible for:
- all activity performed through their account;
- verifying whether goods, suppliers, or documents are commercially suitable;
- independently evaluating risks before placing orders or making business decisions;
- ensuring compliance with laws, brand rules, marketplace rules, customs restrictions, import laws, and intellectual property restrictions;
- reviewing supplier terms before entering any third-party transaction.
Supply Leader is not liable for losses caused by inaccurate User instructions, incomplete submissions, failure to respond, failure to review provided information, or use of the Platform in violation of applicable laws.
13. Eligibility and Access
The Platform is intended for adults and legal entities with legal capacity to enter binding agreements.
By using the Service, the User represents that they have legal authority and legal capacity to do so.
Supply Leader may deny access to any person or entity at its sole discretion.
14. Third-Party Content and External Links
The Platform may contain links to or references to third-party websites, supplier pages, marketplaces, brands, logistics services, or other external resources.
Such resources are provided for convenience only. Supply Leader does not own or control them and is not responsible for their content, legality, policies, pricing, availability, product quality, conduct, privacy, or security practices.
Use of third-party resources is at the User's own risk.
15. License Grant for Submitted Materials
By submitting content to the Platform, the User grants Supply Leader a non-exclusive, worldwide, royalty-free license to use, reproduce, store, adapt, translate, display, transmit, and process such content to the extent reasonably necessary to operate the Platform and provide the Services.
The User represents that they have all necessary rights to submit such content.
16. Product and Supplier Information
Information displayed or delivered through the Platform is provided for informational and business support purposes only.
Product descriptions, supplier information, brand data, prices, shipping conditions, approvals, documentation requirements, and related details may come from public sources, supplier communications, marketplaces, distributors, or other third parties.
Supply Leader does not guarantee that such information is complete, current, accurate, or sufficient for the User's intended business purpose.
Users are responsible for independently verifying commercial, legal, regulatory, and technical suitability before proceeding with any transaction.
17. Prices and Payments
Prices may be shown in different currencies and may vary depending on service type, region, supplier terms, or individual arrangement.
Final charges may include subscription fees, one-time service fees, support fees, operational fees, coordination fees, processing fees, or other agreed charges.
International payments may involve taxes, bank charges, payment processor fees, currency conversion charges, duties, or related charges, which are borne by the User unless stated otherwise.
Supply Leader reserves the right to change prices prospectively at any time.
18. Modifications to Services and Prices
Supply Leader may change, supplement, suspend, remove, or discontinue any part of the Platform or Services at any time.
Supply Leader is not liable for any modification, suspension, discontinuation, or unavailability of any feature, support category, or service element.
19. Billing and Subscription Terms
Subscriptions are activated upon payment and renew automatically unless canceled by the User before the next billing cycle.
The User is solely responsible for canceling their subscription through:
- their account dashboard, where available; and/or
- their payment provider account, including PayPal subscription settings, where applicable.
Supply Leader does not cancel subscriptions on behalf of Users and does not assume responsibility for subscription management performed by the User's payment provider account.
Failure by the User to cancel before renewal constitutes authorization for the renewal charge.
Unused time, inactivity, failure to use the Service, misunderstanding of the Plan, or failure to cancel in time do not create refund rights except as expressly stated in the Refund Policy.
20. Intellectual Property
The Platform, its structure, interface, software, databases, internal tools, workflows, branding elements, and Service-generated materials are owned by or licensed to Supply Leader, except for third-party content owned by its respective rights holders.
Third-party trademarks, logos, product images, supplier documents, brand names, and similar materials remain the property of their respective owners and are used only for informational, referential, or Service-support purposes.
Nothing in these Terms grants the User any right to copy, distribute, exploit, or reuse Platform materials except as expressly permitted in writing.
21. Feedback and Submissions
Any feedback, suggestions, ideas, comments, or other submissions provided by the User regarding the Platform or Services may be used by Supply Leader without compensation, restriction, or obligation, unless otherwise agreed in writing.
22. Communications
The User agrees to receive communications from Supply Leader electronically, including by email, dashboard notices, billing notices, service messages, operational updates, legal notices, and security messages.
These communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
23. Accuracy, Completeness, and Timeliness of Information
Supply Leader does not warrant that information on the Platform or in delivered Service results will always be accurate, complete, timely, or error-free.
The User acknowledges that business decisions based on analytics, supplier search results, supplier responses, brand feedback, distributor positions, or third-party content are made at the User's own risk.
24. Prohibited Uses
The User shall not use the Platform:
- for unlawful purposes;
- to infringe third-party rights;
- to submit false or misleading information;
- to distribute malware, spam, or abusive content;
- to impersonate another party;
- to attempt unauthorized access;
- to misuse supplier or brand information;
- to request prohibited, infringing, counterfeit, or unlawful goods or activities.
Supply Leader may suspend or terminate access immediately for any prohibited use.
25. Disclaimer of Warranties
The Platform and Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, Supply Leader disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, reliability, and commercial suitability.
Supply Leader does not guarantee:
- that a supplier will respond;
- that a supplier or brand will approve the User;
- that a product is lawful, unrestricted, authentic, profitable, or suitable;
- that a transaction will be completed;
- that a supplier will honor quoted terms;
- that shipping, customs, or marketplace acceptance will succeed.
26. Interactive Features
Any live chat, contact forms, preliminary support channels, automated tools, or similar interactive features are provided for convenience only.
Messages or responses through such tools may be incomplete, delayed, preliminary, or non-binding.
27. Orders and Third-Party Transactions
Supply Leader may assist Users with locating suppliers, communicating with suppliers, collecting quotations, coordinating documents, arranging payment communication, or supporting procurement-related workflows.
However:
- Supply Leader is not the seller of goods unless expressly stated in a separate written agreement;
- Supply Leader does not manufacture, own, warehouse, or ship goods;
- goods are provided by third-party suppliers;
- contractual and commercial terms relating to goods are governed by the supplier's or brand's conditions;
- Supply Leader provides support and coordination services, not retail sale services.
Submission of an order request does not guarantee supplier acceptance, execution, shipment, return rights, or refund rights.
Supply Leader may refuse, pause, or discontinue assistance with any order at its discretion.
28. Shipping Limitations
Supply Leader is not responsible for shipping restrictions imposed by carriers, customs authorities, destination laws, supplier policies, sanctions rules, or brand restrictions.
The User is solely responsible for ensuring that any contemplated goods are lawful for import, resale, distribution, and marketplace use in the intended destination.
All delivery terms, including the list of items restricted or prohibited from shipment, are governed by a separate document — the Shipping & Delivery Policy.
29. Customs, Import, and Regulatory Problems
The User bears sole responsibility for:
- import legality;
- customs clearance;
- duties and taxes;
- certifications;
- destination-country compliance;
- documentation required by customs, regulators, or marketplaces.
Supply Leader may provide support materials when available, but does not guarantee customs clearance or regulatory approval.
30. Limitation of Liability
To the fullest extent permitted by law, Supply Leader shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, or interruption losses.
Supply Leader shall also not be liable for losses caused by:
- third-party suppliers;
- brands or rights holders;
- marketplaces;
- logistics providers;
- customs authorities;
- payment processors;
- banks;
- technical outages;
- force majeure events;
- User mistakes, instructions, or omissions.
Where liability cannot be excluded, the maximum aggregate liability of Supply Leader arising out of or relating to the Service shall not exceed the amount actually paid by the User to the relevant Supply Leader entity for the specific Service giving rise to the claim during the three (3) months preceding the event giving rise to liability.
The User's sole remedy for dissatisfaction with the Platform or Services is to stop using them.
31. Termination
Supply Leader may suspend, restrict, or terminate access immediately, with or without notice, if the User:
- violates these Terms;
- violates law or third-party rights;
- files abusive disputes or chargebacks;
- submits fraudulent claims;
- abuses support personnel or systems;
- attempts to circumvent restrictions;
- creates legal, payment, fraud, or reputational risk for Supply Leader.
Upon termination, the User's right to access the Platform ceases immediately.
Termination does not affect accrued payment obligations, defenses, dispute rights, or provisions intended to survive termination.
32. Disputes and Chargeback Defense
If a User raises a complaint, payment dispute, PayPal dispute, chargeback, or similar claim, Supply Leader may rely on account records, login records, access records, billing records, communications, support records, delivered analytics, delivered verification results, delivered sourcing results, renewal records, and activity logs as evidence that Services were authorized and/or delivered.
The User agrees to first contact Supply Leader at [email protected] to seek resolution before escalating a payment dispute, where reasonably possible.
The filing of a payment dispute does not cancel the User's contractual obligations under these Terms.
Where permitted by law, Supply Leader reserves the right to suspend Services, close access, deny further service, or require advance payment if a User initiates a chargeback, reversal, or payment dispute concerning a valid charge.
33. Amendments
Supply Leader may modify these Terms at any time by publishing the updated version on the Platform.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
34. Force Majeure
Supply Leader shall not be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, sanctions, labor disputes, telecom outages, cyber incidents, pandemics, transport disruptions, banking interruptions, governmental actions, supplier failures, or infrastructure failures.
35. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
Failure to enforce any provision shall not constitute a waiver.
Any claim arising out of or relating to the Service must be brought within one (1) year after the event giving rise to the claim, to the extent permitted by law.
These Terms, together with the Refund Policy, Privacy Policy, and other incorporated policies, constitute the entire agreement between the parties regarding the Platform and Services.
36. Copyright and Third-Party Materials
Supply Leader respects intellectual property rights.
Supply Leader does not claim ownership over third-party materials displayed or referenced through the Platform, including product images, logos, descriptions, trademarks, and supplier materials, except for original content created by Supply Leader.

37. Governing Law
These Terms are governed by the laws of Hong Kong, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms, the Platform, or the Services shall be resolved in the manner determined by the applicable law and competent forum of Hong Kong, unless another dispute resolution method is required by mandatory law or agreed separately in writing.
Supply Leader may assign or transfer its rights and obligations under these Terms to any affiliated entity or successor without prior notice to the User.
The User may not assign these Terms without prior written consent.

39. Subscription Terms
39.1 Subscription Access
Subscriptions provide access to designated Platform tools, analytics, sourcing functions, support features, or limits under the selected Plan.
39.2 Renewal
Subscriptions renew automatically unless canceled by the User before renewal.
39.3 Cancellation
The User must cancel the subscription personally through the Platform account tools and/or through the relevant payment provider account, including PayPal where applicable.
Supply Leader does not cancel subscriptions for Users.
39.4 Pricing Changes
Supply Leader may change subscription pricing prospectively. Continued use after such change constitutes acceptance, subject to applicable law.
39.5 Refunds
Subscription refund eligibility is governed exclusively by the Refund Policy.
40. Request Handling Terms
Users may submit Requests concerning manufacturers, suppliers, distributors, products, authorizations, documents, sourcing, or related business matters.
A Request is considered fulfilled when relevant results, information, analysis, verification findings, or sourcing outcomes are delivered, even if:
- the supplier refuses cooperation;
- the product is restricted;
- the brand declines authorization;
- the result is commercially unattractive;
- the User chooses not to proceed.
Supply Leader does not guarantee favorable outcomes.
Monthly or Plan-based limits may apply.
Supply Leader may refuse Requests relating to prohibited categories, unlawful conduct, rights infringement risk, abuse, fraud risk, or insufficient information.
41. Service Limitations
Supply Leader does not guarantee:
- responses from manufacturers, brands, or suppliers;
- supplier reliability or continued availability;
- favorable commercial terms;
- intellectual property clearance;
- marketplace approval;
- customs clearance;
- shipment completion;
- return acceptance by suppliers;
- profitability or resale success.
Where Supply Leader assists with obtaining documentation or brand-related permissions, such assistance is provided on a best-efforts basis unless expressly agreed otherwise in writing.
