Supply Leader — Wholesale Supply

1. Introduction

These Terms and Conditions (the "Terms") govern access to and use of the online service operated by Supply Leader Systems LTD, a company registered in Hong Kong.

The trademark Supply Leader is registered in the United States and is used by the Company to refer to its online service and related products.

In this document, the terms "we", "us", "our", and the "Company" refer to Supply Leader Systems LTD. The terms "Supply Leader", the "Platform", or the "Service" refer to the online service operated under the corresponding trademark. The terms "you", "your", and the "User" refer to any person accessing or using the Service.

By accessing or using the Service, you agree to be fully and unconditionally bound by these Terms, including all referenced policies.

2. Definitions

The following definitions apply throughout these Terms:

Company – Supply Leader Systems LTD, a legal entity registered in Hong Kong and the provider of the Service.
LLC – an affiliated entity of the Company, registered in the United States, responsible for logistics support and operational handling of specific services.
Platform or Service – the website, user interface, account dashboard, and any other digital components operated under the Supply Leader trademark.
User – any individual or legal entity registered on the Platform or otherwise using the Service.
Services – the set of features and functionality provided via the Platform, including access to data, request handling, support, and other related operations as defined in the Structure of Services.
Request – a user-initiated inquiry submitted via the dashboard or by email, for the purpose of supplier search, product clarification, or other support.
Successful Request – a Request that results in the delivery of complete and verified information relevant to the user's inquiry.
Subscription – a paid recurring access to the Services under a selected Tariff.
Tariff – a subscription plan defined by the Company, specifying the scope of available Services, the number of Successful Requests per month, and other applicable parameters.

Other terms used in this document shall be interpreted in accordance with context and applicable law.

3. Structure of Services

The Supply Leader Platform provides Users with access to Services organized under the following structure:

Informational Access – basic access to the Platform's web interface, including viewing general data on products, brands, and market insights.
Request Handling – the ability to submit individual inquiries to search for manufacturers, official distributors, verify product information, or obtain contact details.
Subscription – access to extended Services under a selected Tariff, including a monthly limit of Successful Requests, prioritized support, and personalized assistance.
One-Time Services – execution of specific tasks agreed upon with the User, including non-standard search requests or consulting services not covered by the standard subscription.
Logistics Support – placing orders on behalf of the User, communicating with suppliers, processing payments, and managing shipment through an affiliated LLC registered in the United States.
Legal and Advisory Support – available under corporate agreements or the Enterprise subscription plan.

The scope and availability of individual Services may vary depending on the User's selected Tariff. Full details are provided on the Platform's pricing page.

4. Legal Scope

These Terms govern the use of the Supply Leader Platform and constitute a legally binding agreement between the User and the Company.

The Company aims to comply with applicable international and local legal standards, including those related to data protection, information security, electronic commerce, and consumer rights.

Users are solely responsible for ensuring that their use of the Platform is lawful within their jurisdiction. By using the Platform, the User agrees to be bound by these Terms and all related policies referenced herein.

5. Account Terms

To access the Services, the User must create an account by providing accurate, current, and complete information.

The User is fully responsible for maintaining the security of their account and for all activity conducted through it. In the event of unauthorized access or a security breach, the User agrees to promptly notify the Company.

The Company reserves the right to deny registration, restrict access, or remove any account at its sole discretion, including in cases of Terms violation or abuse of the Services.

6. Payment & Billing

Access to certain Services is provided through a paid subscription under a selected Tariff. The subscription is activated upon payment confirmation and renews automatically unless cancelled in advance by the User via the applicable payment system.

The User is responsible for providing accurate and valid billing information and for keeping it updated as needed. Supply Leader is not responsible for any failure to deliver Services due to invalid or outdated payment details.

Refunds and subscription cancellations are governed by the Refund Policy.

7. Acceptance

By accessing the Platform or using its Services, including registering, subscribing, or submitting Requests, you acknowledge and agree to be bound by these Terms and all referenced policies.

If you do not agree to any part of these Terms, you must refrain from using the Platform.

Any upgrade, modification, or enhancement to the Platform shall also be governed by these Terms, unless explicitly stated otherwise.

8. Technical Use Restrictions

The User agrees to use the Platform strictly in accordance with these Terms and shall not engage in any actions that may disrupt or compromise its secure and stable operation.

The following is prohibited:

interfering with the Platform's functionality or bypassing technical or software-based restrictions;
copying, reproducing, selling, or utilizing interface elements, code, logic, or data without prior written authorization;
using the Platform in a manner that violates technical standards, data transmission protocols, or compatibility requirements;
engaging in mass or automated data access without prior approval.

Non-payment data (such as request content) may be transmitted in unencrypted form across public networks. Payment data (including credit card information) is always processed in encrypted form.

The Company reserves the right to limit or terminate access to the Services in case of a breach of these technical restrictions.

9. Company Information

The Supply Leader Platform is operated by Supply Leader Systems LTD, a company registered in Hong Kong at the following address:
FLAT/RM B26, 5/F, TSUEN WAN INDUSTRIAL BUILDING, TSUEN WAN, NT, HONG KONG.

The Company operates in the field of e-commerce and uses the Supply Leader trademark, which is registered in the United States and owned by the affiliated entity Supply Leader Systems LLC.

The Service is available to Users via the website: www.supplyleader.com.

10. Registration Obligations

To use the Platform, the User must complete the registration process and provide accurate, current, and complete information, including contact details, shipping address, and company information where applicable. This information must be kept up to date.

If registering on behalf of a legal entity, the User confirms they have the authority to bind the entity to these Terms.

As part of the registration, a personal account is created, accessible via the email address and password provided by the User. Supply Leader Systems LTD reserves the right to suspend or terminate access to the Services in case of inaccurate or outdated registration information.

By submitting the registration form and agreeing to receive communications, the User consents to receive informational and marketing messages (including promotions and reminders) via email and/or SMS, including through automated systems (autodialer). Consent to receive such messages is not a condition of subscription or purchase.

The User may unsubscribe at any time by replying STOP to a text message or by contacting support@supplyleader.com.

11. Information Collection

Registered Users may submit content through the Platform, including but not limited to: product descriptions, images, files, commercial offers, and other materials related to Requests or the use of the Services.

The User bears full legal responsibility for the accuracy, legality, and relevance of any submitted content. Supply Leader Systems LTD shall not be liable to the User or any third party for the content or consequences of such information, including any damages, errors, or violations of third-party rights.

The User warrants that submitted information:

does not contain offensive, pornographic, discriminatory, threatening, or unlawful material;
does not infringe on copyrights, patents, trademarks, trade secrets, personal data, or any other protected third-party rights;
complies with the applicable laws.

Supply Leader reserves the right (but not the obligation) to remove, block, or edit any content deemed to violate these Terms or applicable legal provisions.

As part of the Platform's operation, Supply Leader collects, stores, and organizes data related to products, suppliers, and market offers. All structured information created through this process is the intellectual property of Supply Leader Systems LTD and may not be used without written permission. Unauthorized copying or commercial use of such data is prohibited and may result in legal action.

12. User Responsibilities

The User is fully responsible for all actions taken through their account on the Platform, including the confidentiality and security of their email address and password. The User agrees to immediately notify Supply Leader Systems LTD of any unauthorized access or security breach.

The User shall use the Platform strictly in accordance with these Terms and applicable law. Accessing the Services in any manner other than through the official interface is prohibited.

Supply Leader shall not be liable for any damages resulting from the User's failure to fulfill their responsibilities, including but not limited to security violations, provision of inaccurate information, or use of the Platform in a manner that infringes the rights of others.

Any notices sent to the User's registered email address (or a subsequently updated address) shall be deemed delivered upon arrival in the User's email system or under other verifiable delivery circumstances.

Supply Leader may send business and informational communications related to the Services to the contact details provided during registration. The User may opt out of such messages at any time by contacting support@supplyleader.com.

13. Eligibility and Access

The Platform is intended for use by individuals of legal age, legal entities, and organizations with full legal capacity to act and enter into binding agreements. Users must have reached the age of majority as defined by the laws of their jurisdiction.

Users who do not meet these criteria are not permitted to register or use the Platform. Otherwise, all resulting consequences shall be borne by the User or their legal representative.

During use of the Platform, the User must comply with all applicable laws. Supply Leader Systems LTD shall not be liable for any actions or consequences resulting from the User's unlawful conduct.

Supply Leader reserves the right, at its sole discretion, to deny access to the Services to any person at any time without prior notice. Access may be restricted or terminated for Users who are temporarily or permanently suspended.

14. Third-Party Content and External Links

As part of the Platform's functionality, the User may be provided with links to external websites, resources, applications, or other materials owned or operated by third parties ("Third-Party Resources"). These links are offered solely for convenience and do not imply endorsement or control by Supply Leader over the content, offers, or policies of such third parties.

Supply Leader does not review, monitor, or verify Third-Party Resources and assumes no responsibility for their content, accuracy, legality, relevance, security, advertising, privacy practices, terms of use, or any other aspects.

By choosing to access any Third-Party Resource, the User acknowledges that such use is governed by the third party's own terms and policies. Supply Leader's Terms and policies no longer apply in such cases. The User is responsible for reviewing and accepting the applicable conditions of any external site or service.

When using optional tools or third-party features integrated into the Platform interface, the User does so entirely at their own discretion and risk. It is the User's responsibility to assess the terms under which such tools are offered.

15. License Grant

By submitting any content to the Platform (including text, images, files, commercial offers, and other materials), the User expressly confirms that they hold all necessary rights to such content and grants Supply Leader Systems LTD a non-exclusive, worldwide, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use it.

This license includes the right to reproduce, publish, display, distribute, modify, translate, create derivative works from, publicly perform, and otherwise utilize the content in any form and through any medium or technology, whether existing or developed in the future, strictly for the operation of the Platform and delivery of the Services.

If the submitted content includes the User's name, voice, or likeness, the User further grants Supply Leader the right to use such elements for the aforementioned purposes where reasonably required for Service delivery.

16. Product Information

Product information published on the Platform is provided for informational purposes only. Descriptions, specifications, images, and other materials may be obtained from public sources, including marketplaces, supplier websites, and third-party resources. Such content does not constitute a commercial offer and is not verified by Supply Leader.

Actual product properties may differ from the published information. Supply Leader Systems LTD is not responsible for the accuracy, completeness, or relevance of third-party data or content published by moderators. Users are encouraged to verify product specifications with the manufacturer or supplier and, where applicable, request a sample before placing a large order.

Prices, availability, delivery conditions, and other product-related terms may change at any time without prior notice. Certain items may be available only in limited quantities or within specific regions.

All trademarks, logos, brand names, images, and other materials appearing in product descriptions are the property of their respective owners. Supply Leader makes no claim of ownership over such content and uses it solely for informational display purposes. Users are prohibited from copying, distributing, or otherwise using such materials without proper authorization from the rights holder.

17. Prices and Payments

Prices displayed on the Platform are for informational purposes only and may be shown in various currencies depending on the User's region or preferences. Final costs for Services, one-time tasks, or any payable actions are determined individually or within the scope of the selected Tariff.

Supply Leader reserves the right to change prices at any time without prior notice. Such changes do not apply to orders or Subscriptions that have already been confirmed and paid.

International transactions may be subject to taxes, duties, or customs fees as determined by the destination country's regulations. The User is solely responsible for the payment of any such charges.

Accepted payment methods include wire transfers in U.S. dollars, PayPal, and other solutions that may be introduced by Supply Leader Systems LTD over time. Detailed payment terms are described in the Payment & Billing section of this document.

18. Modifications to the Service and Prices

Supply Leader reserves the right to modify, supplement, or suspend the provision of the Services, as well as update the Platform's structure, features, interface, or content at any time without prior notice.

Prices for specific Services, Subscriptions, and related descriptions may be changed at the sole discretion of Supply Leader Systems LTD. Such changes will not apply to already confirmed and paid operations.

Supply Leader shall not be liable to the User or any third party for any changes, suspensions, or discontinuation of any part of the Services.

19. Billing and Subscription Terms

Access to extended Services on the Platform is available through a paid subscription under the selected Tariff. The subscription becomes active upon successful payment and renews automatically for each new period unless canceled in advance by the User through their payment provider (e.g., PayPal).

The User is responsible for maintaining accurate billing information. In case of payment failure due to outdated or invalid details, Supply Leader Systems LTD reserves the right to suspend or restrict access to the Services until the issue is resolved.

The User manages and cancels their subscription directly through their payment account. Supply Leader does not process subscription cancellations on the User's behalf.

Refund eligibility, subscription cancellation terms, and refund procedures are governed by the Refund Policy. All refunds are processed through the original payment method. Bank fees and charges are borne solely by the User.

Current Tariffs and the scope of Services are published on the Platform and form an integral part of these Terms. Supply Leader may change subscription pricing unilaterally, with prior notice to the User by email or through their account in the event of an active subscription.

The processing of billing and personal data is governed by the Privacy Policy. A Data Processing Addendum (DPA) is available upon request.

20. Intellectual Property

All materials published on the Platform, including text, images, videos, and product descriptions, may include content provided by third parties such as manufacturers, suppliers, or publicly available sources. Supply Leader does not claim ownership or exclusive rights over such content, except for materials directly created by Supply Leader Systems LTD.

Rights to trademarks, logos, branding, and other intellectual property belong to their respective owners. Such content is used strictly for informational purposes. Users are solely responsible for complying with third-party rights when copying, sharing, or otherwise using this content.

If you believe that any material published on the Platform infringes your copyright, you may submit a written notice to support@supplyleader.com. The notice must include the following:

a description of the copyrighted work that you believe has been infringed;
a URL or reference to the exact location of the allegedly infringing material;
an electronic or physical signature of the person authorized to act on behalf of the copyright owner;
a good-faith statement that the disputed use is not authorized by the copyright owner, their agent, or the law;
a statement made under penalty of perjury that the information provided is accurate and that you are the copyright owner or authorized to act on their behalf.

21. User Comments, Questions, Feedback and Other Submissions

If the User submits comments, suggestions, ideas, questions, or other materials to Supply Leader (including unsolicited submissions), the User agrees that such content may be used without limitation — including publication, copying, distribution, translation, modification, or other use in any form or medium. Such materials are not subject to confidentiality, compensation, or mandatory response, unless explicitly agreed otherwise.

Supply Leader reserves the right (but has no obligation) to monitor, edit, or remove any content that, in its sole discretion, violates the law, third-party rights, these Terms, or is otherwise deemed inappropriate (including offensive, defamatory, obscene, threatening, or harmful content).

The User agrees not to submit content that infringes copyrights, trademarks, privacy rights, or any other third-party rights, and not to use false contact details or misleading origin data.

The User bears full responsibility for the content, accuracy, and legality of their submissions. Supply Leader Systems LTD assumes no liability for content submitted by the User or third parties.

22. User Consent to Receive Communications

For contractual and informational purposes, the User agrees to receive communications from Supply Leader in electronic form via the email address provided during registration. Such communications may include terms and conditions, agreements, legal notices, disclosures, and other messages that fulfill any legal requirement that such communications be in writing.

Supply Leader may also use the provided email address to send service-related notifications, updates, and information about features, offers, or other content related to the Platform. The User may opt out of receiving marketing messages by contacting support@supplyleader.com.

Opting out of marketing communications may result in the User not receiving important information about updates or offers related to the Services.

23. Accuracy, Completeness and Timeliness of Information

While Supply Leader aims to provide accurate and up-to-date information, all content made available on the Platform is provided for general informational purposes only and may not be comprehensive, precise, or updated in real time.

The User acknowledges that reliance on such content without verifying it through primary or more timely sources is at their own risk. Supply Leader Systems LTD shall not be held liable for any consequences resulting from the use of incomplete, outdated, or inaccurate information.

The Platform may contain historical or archived content, which is provided for reference only. Supply Leader reserves the right to modify the contents of the Platform at any time but is under no obligation to update any previously published information. It is the User's responsibility to monitor changes and verify the relevance of any information used.

24. Prohibited Uses

In addition to other restrictions set forth in these Terms, the User is prohibited from using the Platform, its functionality, or its content for the following purposes:

to engage in or facilitate unlawful activities;
to violate any applicable international, federal, national, regional, or local laws and regulations;
to infringe upon the intellectual property rights of Supply Leader or any third party;
to harass, threaten, discriminate, insult, or degrade others based on gender, age, race, nationality, religion, disability, sexual orientation, or any other characteristic;
to provide false, misleading, or manipulated information;
to upload or transmit viruses, malicious code, or any software intended to disrupt the operation of the Platform, related websites, or the Internet;
to collect, track, or misuse the personal data of others;
to engage in spamming, phishing, pharming, impersonation, automated data collection, or bypassing security mechanisms;
to publish obscene, immoral, or otherwise prohibited content;
to interfere with or disable the security features of the Platform.

Supply Leader Systems LTD reserves the right to suspend or terminate the User's access to the Services immediately upon violation of any of the above provisions.

25. Warranty Disclaimer

Use of the Platform, its functionality, and content is at the User's own risk. All information and materials available on the Platform are provided "as is" without any express or implied warranties.

Supply Leader Systems LTD makes no guarantees:

regarding the accuracy, completeness, timeliness, or reliability of information;
that the Services, products, or materials will meet the User's individual expectations or needs;
that access to the Platform will be uninterrupted or error-free;
that the materials or transmissions will be secure, legal, virus-free, or free of other harmful components.

Supply Leader shall not be liable for any consequences resulting from the use of information without additional verification. The User is solely responsible for data validation, maintaining backups, and protecting their technical systems.

If the Platform contains design elements, layouts, graphics, or other materials not owned by Supply Leader, such content is acknowledged as the property of their respective rights holders.

26. Interactive Features

The Supply Leader Platform may include interactive features such as live chat, contact forms, or other communication tools for initial interaction with the Company.

The User acknowledges that due to the limited format and partial automation of such features, responses received through these channels may be incomplete, outdated, or insufficiently accurate.

Any information provided through interactive tools does not constitute personalized advice or a professional recommendation, and should not be relied upon as the sole basis for decision-making. The User is responsible for verifying and confirming any information prior to use.

27. Ordering

The User may submit a purchase request through the Platform for goods offered by third parties (manufacturers, suppliers, etc.) as part of the provided Service or Subscription. Supply Leader acts solely on behalf of and in the interest of the User, providing informational, organizational, and logistical support.

Submitting a request does not constitute automatic confirmation or acceptance for processing. All requests are reviewed by a Supply Leader manager, after which the User receives status updates, cost estimates, and confirmation of terms.

Receipt of the request is acknowledged via email ("Order Receipt Confirmation"). Further communications may include payment confirmation ("Payment Confirmation") and procurement or delivery confirmation ("Order Fulfillment Confirmation").

Contractual obligations regarding the supply of goods arise directly between the User and the third-party provider under agreed terms. Supply Leader Systems LTD acts as a service intermediary and not as a seller. The Platform is not obliged to process unconfirmed or unsupported order requests.

Supply Leader reserves the right to cancel any request prior to its agreed execution. Order terms and delivery conditions may be negotiated with the User individually.

28. Shipping Limitations

All delivery terms, including the list of items restricted or prohibited from shipment, are governed by a separate document — the Shipping & Delivery Policy.

Supply Leader does not arrange the shipment of items prohibited by applicable international or national laws or restricted by logistics partners. The User is solely responsible for ensuring that any items to be purchased and shipped comply with applicable regulations and are permitted for import into the destination country.

Users are required to review the current version of the Shipping Policy before placing an order or submitting a procurement request.

29. Custom Problems

Supply Leader provides informational and organizational support when working with international suppliers but is not a party to import operations in the destination country and bears no responsibility for customs clearance, taxes, duties, or compliance with import regulations.

The User is fully responsible for:

ensuring that purchased goods comply with applicable customs laws in their country;
paying any import duties, VAT, or other related charges;
providing all required documentation for customs processing.

Supply Leader may assist by providing available product or supplier information upon request to support customs procedures. However, the company does not guarantee customs clearance, does not represent clients in customs matters, and is not liable for any delays, penalties, or confiscations that may occur.

30. Limitation of Liability

a) Supply Leader shall not be liable for any interruptions in the operation of the Platform due to force majeure, hardware failures, software issues, power outages, telecommunications breakdowns, governmental actions, military conflicts, labor disputes, human errors, or other external factors.
The Platform and the Services may contain errors, inaccuracies, or experience temporary unavailability. While Supply Leader Systems LTD strives to maintain stable operation, it shall not be held responsible for any loss, lost profits, or other consequences resulting from the use or inaccessibility of the Platform.

b) The Services are provided "as is" without any express or implied warranties. Supply Leader disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law.

c) Supply Leader shall not be liable for any direct, indirect, incidental, consequential, or special damages (including but not limited to lost profits, loss of reputation, or data loss) resulting from the use of or inability to use the Platform, even if previously advised of the possibility of such damages.

d) If the User is dissatisfied with the Platform or any part of the Service, their sole and exclusive remedy is to stop using it.

e) All legal rights, title, and interest in and to the Platform and its components (including software, structure, design, and intellectual property) belong to Supply Leader Systems LTD, whether or not such rights are registered and regardless of the jurisdiction.

f) Due to varying laws and regulations across countries, the displayed content may differ depending on the User's location. Supply Leader assumes no responsibility for blocking or restriction of content access in countries where such content may be deemed to violate local laws or policies.

31. Termination

Supply Leader Systems LTD reserves the right to temporarily or permanently suspend or terminate the User's access to the Platform and Services, or deny the provision of Services, for any of the following reasons:

a) using the Platform for activities that violate applicable laws, regulations, or the rights of Supply Leader or third parties;

b) submitting false account information or using the Platform to distribute spam or duplicate content;

c) posting content unrelated to international trade or business cooperation;

d) impersonating another person or entity, or unlawfully using their name to conduct activities;

e) attempting to compromise the technical integrity of Supply Leader systems, including unauthorized access, modification, or interference;

f) uploading or distributing materials containing viruses or malicious code designed to damage, intercept, or disrupt data or systems;

g) obtaining other users' login credentials, including usernames and passwords;

h) transferring access to the Platform (including login credentials) or any business information obtained through the Platform to third parties;

i) engaging in any other conduct that Supply Leader considers a violation of these Terms or detrimental to the operation of the Platform.

Supply Leader may terminate Services at its sole discretion, with or without notice. In case of suspected violations, Services may be terminated without refund or liability for any resulting losses or damages.

Upon termination:

the User loses all access rights to the Platform and is prohibited from submitting any content;
the User remains fully liable for all consequences arising from violations of these Terms;
all data associated with the User may be deleted without recovery.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

32. Dispute Resolution

In the event of any complaint, disagreement, or dispute between Users, with suppliers, or in the course of a transaction, Supply Leader may, at its sole discretion, choose to participate in reviewing the matter — strictly as a neutral service party. Such involvement is not mandatory and is provided only upon decision of Supply Leader Systems LTD.

The User agrees to promptly provide any requested documents or evidence if notified by Supply Leader via email or other means. If the User fails to respond within the specified time, Supply Leader reserves the right to handle the matter at its discretion, including suspending access to Services or discontinuing support related to the dispute.

Supply Leader does not guarantee that any internal dispute handling will result in a resolution that meets the User's expectations. Such involvement does not replace legal or judicial procedures and does not create any obligations for Supply Leader Systems LTD.

In the event of a confirmed violation of these Terms, policies, or any other applicable rules, Supply Leader reserves the right to:

limit, suspend, or terminate Services;
publish a record of the violation on the Platform (where appropriate and lawful);
permanently deny further access to the Platform and refuse service.

The User acknowledges full responsibility for the accuracy and legality of any materials or actions submitted during the dispute process.

33. Amendments

Supply Leader Systems LTD reserves the right to modify or update these Terms at any time. The latest version of the Terms will be published on the Platform, and the User is solely responsible for reviewing them periodically. Continued use of the Platform after any updates constitutes acceptance of the revised Terms.

Supply Leader will notify the User of any material changes by posting a notice on the homepage and/or sending an email to the address provided during registration.

Therefore, the User is responsible for keeping their contact and profile information current.

Any amendments to these Terms, other than as described above, or any waiver of Supply Leader's rights, shall be valid only if set forth in a written document signed by an authorized officer of Supply Leader Systems LTD. No verbal, telephonic, or email communication shall be considered a valid modification of this Agreement.

34. Force Majeure

Supply Leader Systems LTD shall not be held liable for any failure or delay in the performance of its obligations if such failure or delay results from causes beyond its reasonable control, including but not limited to: acts of God, governmental actions, war, terrorism, riots, strikes, pandemics, transportation or infrastructure disruptions, power failures, shortage of materials, or technical malfunctions.

In the event of such circumstances, Supply Leader will notify the User within a reasonable timeframe, providing the nature and cause of the delay, and will resume performance as soon as the force majeure event is resolved.

Any suspension of obligations due to force majeure shall not constitute a breach of these Terms.

35. General Terms

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be interpreted, to the extent possible, in accordance with applicable law to reflect the original intent.

The failure of Supply Leader to enforce any provision of these Terms shall not be construed as a waiver of the right to enforce it at a later time. All rights granted under these Terms shall survive any termination of this Agreement.

Any claim, complaint, or cause of action related to the use of the Platform must be initiated within one year from the date the issue arises. After that period, such claims shall be permanently barred.

The User acknowledges having read and understood these Terms and agrees to be bound by them. The User further acknowledges that these Terms, together with the Privacy Policy, constitute the full and exclusive agreement between the parties, superseding all prior proposals, communications, or agreements, whether oral or written, relating to the subject matter hereof.

36. Copyright License

Under these Terms, Supply Leader Systems LTD and/or its licensors retain the right to use the materials published on the Platform solely to the extent necessary for the provision of Services.

However, Supply Leader does not claim ownership or exclusive rights over content provided by third parties, including but not limited to product images, descriptions, logos, service marks, videos, documentation, and other materials. All rights to such content remain with their lawful owners and are respected by the Company.

Users are responsible for independently verifying the legality of using any materials obtained from the Platform beyond personal viewing. Copying, distributing, or otherwise using such content is only permitted with proper authorization from the rights holder.

37. Governing Law

These Terms and any use of the Platform or Services shall be governed by and construed in accordance with the substantive laws of Hong Kong, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the jurisdiction prescribed by the laws of Hong Kong. Supply Leader Systems LTD reserves the right to determine the appropriate method of dispute resolution, including but not limited to negotiation, mediation, or arbitration, based on the nature and circumstances of the case.

Supply Leader may assign or delegate any of its rights or obligations under these Terms and the Privacy Policy, in whole or in part, to any third party without the User's prior consent. The User may not assign or delegate any rights or obligations without prior written approval from Supply Leader Systems LTD; any such attempt shall be considered void.

39. Subscription Terms

1. Subscription and Service Access
Access to advanced features on the Platform is provided through a paid subscription under one of the available Tariff plans.
Each Tariff defines the scope of Services, the number of Successful Requests per month, support priority, and other parameters. The subscription becomes active upon successful payment and is valid for the paid period.

2. Renewal and Cancellation
Subscriptions renew automatically unless the User manually disables renewal in their payment system.
Supply Leader does not cancel subscriptions on behalf of the User. It is the User's responsibility to manage and cancel the subscription.

3. Pricing and Changes
Current Tariffs are published on the Platform's website and form an integral part of these Terms.
Supply Leader Systems LTD reserves the right to change subscription pricing at any time without prior notice. If a subscription is active, notification will be provided via the User's account or registered email.

4. Limits and Restrictions
Each Tariff may include quantitative or functional limitations (e.g., number of Successful Requests, support access, response time). These limits are published on the pricing page and are subject to updates.

5. Refunds
Refunds and subscription cancellation terms are governed by a separate document — the Refund Policy.

40. Request Handling Terms

The User may submit individual requests for information on manufacturers, distributors, procurement terms, or logistics through the Platform. Requests are processed manually or automatically, depending on their type and the features included in the selected Tariff.

1. Processing time and delays
Manual processing typically takes between 1 to 4 business days. However, delays may occur due to:

supplier response times or external verifications,
additional checks or data clarification,
high service load caused by seasonal demand or a sharp increase in the number of submitted requests.

2. Definition of a "Successful Request"
A request is considered successful if information about the product, brand, or manufacturer has been found and provided. Supply Leader does not guarantee that the result will meet the User's expectations, but providing a verified source constitutes fulfillment of the request.

3. Request limits
Monthly limits are determined by the User's active Tariff. Once the limit is reached, manual request handling is suspended until the next billing cycle.

4. Response format
Responses are delivered in text format and may include a source link (if available), summary of the result, or a notice that no information is currently available. Additional updates may follow if a response is later received from a supplier.

5. Right of refusal
Supply Leader Systems LTD reserves the right to decline a request if:

the item falls under a prohibited category;
the request violates these Terms or constitutes abuse of the system;
the User repeatedly provides false or misleading information.

41. Service Limitations

Supply Leader provides Services as an informational and organizational support platform and does not guarantee the following:

Response from manufacturers or suppliers
While we reach out to official sources, we cannot be held responsible for non-responses, rejections, or delays from manufacturers or distributors.
Completeness of our database
Information is based on internal research and available sources. We do not claim to operate a complete or exhaustive database of all suppliers, manufacturers, or product listings.
Accuracy and timeliness of data
Details obtained from public or semi-official sources may be outdated, incomplete, or subject to change. We do not guarantee that pricing, contact details, or supply terms are current at the time of delivery.
Conclusion of a commercial agreement
Supply Leader Systems LTD does not participate in negotiations between the User and any supplier, nor does it guarantee the conclusion of a transaction or the acceptance of specific terms.
Commercial suitability of results
Even when a request is fulfilled, the result may not meet the User's expectations (e.g., high pricing, minimum order volume too large, refusal to work with marketplace sellers, etc.).
